General Vendor Terms of Service

1. Term and Termination

1.1 Term: This Agreement shall begin on January 14, 2025, and end on April 14, 2025.
1.2 Termination: Either party may terminate this Agreement by providing a fourteen (14) day written notice before the End Date.

 

2. Ruck’s Responsibilities

2.1 On-Demand Delivery Service: Ruck shall provide access to a dependable and flexible on-demand delivery service. We offer trucks and trailers to fulfill your customers’ delivery needs promptly and efficiently.
2.2 Ruck Guarantee: We ensure delivery of loads as specified in Section 7 (Ruck Delivery Guarantee).
2.3 Marketplace Benefits: Vendor products will gain additional visibility through the Ruck Marketplace, expanding customer reach.
2.4 Logistics Support: Ruck strives to be the vendor’s preferred delivery partner by exceeding expectations and simplifying logistics. While the vendor may employ other solutions, Ruck is committed to delivering a reliable, convenient, and value-driven service.

 

3. Vendor Responsibilities

By partnering with Ruck, the vendor agrees to:

3.1 Preferred Delivery Partner: Establish Ruck as the preferred delivery partner for their business.
3.2 Marketing Materials: Display Ruck’s marketing materials—such as signs, A-frames, window decals, and flyers—as mutually agreed.
3.3 Informing Customers: Ensure customers are aware of Ruck’s delivery service.
3.4 Non-Circumvention: Refrain from forming direct business relationships with Ruck drivers.
3.5 Customer Engagement: Allow Ruck to contact customers for clarifying questions related to deliveries.
3.6 Customer Lists: Provide Ruck with a list of customers who may benefit from delivery services. Ruck will not use this information to compete with the vendor but to support and expand the vendor’s delivery needs.

 

4. Pricing

4.1 Tiered Pricing Structure: Deliveries are billed according to specific mileage tiers. Additional details about mileage tiers will be provided to the vendor.
4.2 Additional Fees:

  • Handling Fee: $0.015 per pound
    4.3 Notice of Changes: Pricing is subject to change, with a fourteen (14) day notice provided to the vendor prior to any modifications.

     

5. The Ruck Fleet

5.1 Independent Contractors: Drivers engaged by Ruck operate as independent contractors.
5.2 Contractor Screening: Ruck screens these contractors to ensure they meet minimum proficiency and qualifications; however, Ruck is not liable for their actions.
5.3 Insurance: All drivers are required to maintain appropriate vehicle insurance coverage, verified by Ruck to meet minimum standards.

 

6. Vehicles and Equipment

6.1 Ownership: Vehicles and equipment used for deliveries are owned and operated by the independent contractors.
6.2 Responsibility: Ruck bears no responsibility for the maintenance or operational readiness of these vehicles and equipment.

 

7. Ruck Delivery Guarantee

7.1 Basic Guarantee: Ruck provides coverage up to $100,000 in claims per month. This coverage resets on the 1st of each month.
7.2 Additional Coverage:

  • May be purchased at a rate of $250/month per additional $10,000 in coverage.

  • Must be requested either at the beginning of this Agreement or with a 30-day notice before taking effect.
    7.3 Coverage Phases:

    • Loading Phase: The vendor assumes all responsibility for loading the cargo onto the vehicle or trailer.

    • Transportation Phase: Ruck secures and transports the load to the drop-off point. Any damage during transit is covered by the Ruck Guarantee up to the applicable monthly coverage amount.

    • Unloading Phase:

      • If Ruck unloads: The Ruck Guarantee remains in effect during unloading.

      • If the end customer unloads: The Ruck Guarantee does not apply once Ruck’s driver is no longer engaged in the unloading process.

    • Departure: The Ruck Guarantee ends once the cargo has been unloaded and the driver has departed the drop-off location. At that point, the customer assumes all responsibility and liability.
      7.4 Driver’s Responsibility: Drivers must maintain personal or commercial insurance, supplemented by Ruck’s coverage as detailed above.

       

8. Limitation of Liability

8.1 Maximum Liability: Ruck’s liability for losses or damages is limited to the coverage limits of the applicable insurance or guarantee policy, subject to compliance with relevant laws.
8.2 Exclusion of Certain Damages: Ruck is not liable for any indirect or consequential damages beyond the coverage detailed in Section 7.

 

9. Load Documentation

9.1 Photographic/Video Evidence: Drivers will document cargo loads at the time of securing them and upon arrival at the drop-off location.
9.2 Claims Support: This documentation is used to support or refute damage claims during the claims process.

 

10. Claims Process

10.1 Initiating a Claim: To file a claim, the vendor or customer must send an email to [team@ruckdelivery.com] with the subject line formatted as follows:
[Vendor Name] – [Date of Delivery] – [Order #]
10.2 Claim Details: The email body must include the name, drop-off address, description of damage, and supporting photo/video evidence.
10.3 Review and Comparison: Ruck reviews the received documentation against the driver’s documentation.
10.4 Claim Payout: Ruck will issue reimbursement for approved claims by check within sixty (60) days of claim submission.

 

11. Indemnification

11.1 Scope: The vendor agrees to indemnify and hold Ruck harmless against all claims that exceed the Basic Ruck Guarantee and any Additional Coverage purchased.
11.2 Procedures: The vendor shall promptly notify Ruck of any such claims and cooperate in defense or resolution thereof.

 

12. Force Majeure

12.1 Unforeseen Events: Ruck shall not be liable for any failure to perform due to causes beyond its reasonable control, including acts of God, war, government regulations, disasters, strikes, civil disorder, or curtailment of transportation.
 

13. Payment Policy

13.1 Invoicing: An invoice will be issued after each delivery, with payment due by the end of the month.
13.2 Methods of Payment: Electronic funds transfer, credit card, and check are accepted. Checks should be mailed to:

13.3 Late Fees:

  • Initial late fee of $40

  • Interest rate of 5% APR
    13.4 Credit Approval: Ruck may require credit approval for customers requesting extended credit terms.

14. Governing Law and Dispute Resolution

14.1 Governing Law: This Agreement is governed by the laws of the State of Utah.
14.2 Mediation First: Any disputes arising under this Agreement shall first be subject to mediation before either party may pursue legal action.

 

15. Non-Solicitation

15.1 Non-Solicitation Period: During the term of this Agreement and for one (1) year thereafter, the vendor shall not solicit, hire, or engage in business with any Ruck driver without Ruck’s prior written consent.
 

16. Ensuring Accurate Information

16.1 Importance of Accuracy: Accurate information is essential for timely and successful deliveries.
16.2 Fees for Inaccuracies:

  • Unforeseen Circumstances: Ruck reserves the right to bill back for unforeseen issues. See www.ruckdelivery.com/unforeseencircumstances for more details.

  • Address or Pickup Time Inaccuracies: A $50 fee will be charged for errors in delivery or pickup address and/or pickup time.

  • Loading & Unloading Inaccuracies: A $50 fee will be charged for inaccuracies related to loading/unloading information, plus an hourly fee of $30 for each additional hour of unloading.
